License Grant and Term
1.1 Beat License: Seller hereby grants Licensee a non-exclusive license to use the beat titled “[Beat Title]” (the "Beat") for a period of one (1) year from the Effective Date of this Contract (the "Term").
1.2 Effective Date: The Term of this Contract shall commence on [Start Date] and expire on [End Date].

Payment and Royalties
2.1 License Fee: Licensee agrees to pay Seller the sum of Twenty-Five Dollars ($25.00) for the use of the Beat.
2.2 Royalties: Seller shall be entitled to fifty percent (50%) of all royalties and revenues generated from any recordings produced using the Beat. Licensee agrees to account for and pay such royalties on a quarterly basis.

Rights and Ownership
3.1 Retained Rights: Seller retains all ownership rights, title, and interest in and to the Beat, including any and all copyrights.
3.2 No Transfer: Licensee may not transfer, assign, or sublicense the Beat to any third party without the prior written consent and approval of Seller.

Use and Restrictions
4.1 Usage: The Beat may be used by Licensee for music production and distribution during the Term.
4.2 Re-licensing: Licensee shall not license, sub-license, or otherwise permit any third party to use the Beat or any recordings made using the Beat without obtaining Seller’s prior written consent.

Termination
5.1 Early Termination: This Contract may be terminated early by either party upon written notice if the other party is in breach of any material term of this Contract and fails to cure such breach within fifteen (15) days of receipt of written notice of the breach.
5.2 Post-Termination: Upon expiration or termination of this Contract, Licensee shall cease all use of the Beat and any recordings made using the Beat.

Miscellaneous
6.1 Governing Law: This Contract shall be governed by and construed in accordance with the laws of the state of [Your State].
6.2 Dispute Resolution: Any disputes arising under or in connection with this Contract shall be resolved through binding arbitration in [City, State].
6.3 Entire Agreement: This Contract constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
6.4 Amendments: This Contract may be amended only in a writing signed by both parties.
